Acceptance of Terms

By accessing our website (criatima.com / criatima.pt) or engaging Criatima for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("the Client") and Criatima ("the Agency").

If you do not agree to any part of these terms, please do not use our website or engage our services. We reserve the right to update these terms at any time, and continued use of our services after such changes constitutes acceptance of the revised terms.

Services Description

Criatima is a full-service creative and digital agency based in Fatima, Portugal. We provide a comprehensive range of professional services, including but not limited to:

  • Branding and visual identity design (logos, brand guidelines, marketing collateral)
  • Web development and design (custom websites, e-commerce, web applications)
  • Digital marketing (SEO, social media management, content marketing, paid advertising)
  • Strategic consulting (brand strategy, market research, digital transformation)

The specific scope, deliverables, and timeline for each project will be outlined in a separate project proposal or statement of work agreed upon by both parties before commencement.

Client Obligations

To ensure the successful delivery of our services, the Client agrees to:

  • Provide accurate and complete information necessary for the execution of the project
  • Supply all required materials, content, and assets in a timely manner
  • Provide timely feedback and approvals at each stage of the project to avoid delays
  • Designate a primary point of contact authorised to make decisions on behalf of the Client

Intellectual Property

Upon receipt of full and final payment, all intellectual property rights for the agreed deliverables shall transfer to the Client. Until full payment is received, Criatima retains all rights, title, and interest in the work produced.

Criatima reserves the right to showcase completed work in its portfolio, website, social media channels, and other marketing materials for promotional purposes, unless a written non-disclosure agreement states otherwise.

Any third-party assets (stock photography, fonts, plugins, or software licences) used in the project remain subject to their respective licence terms and are not included in the transfer of intellectual property.

Payment Terms

All project fees are outlined in the approved proposal or quote. Our standard payment structure is as follows:

  • A non-refundable deposit of 30% to 50% is required before work begins
  • Milestone payments may be scheduled at key project stages as outlined in the proposal
  • The remaining balance is due upon project completion, before the delivery of final files

Invoices are payable within 15 days of issue unless otherwise agreed. Late payments may incur a fee of 2% per month on the outstanding balance. Criatima reserves the right to pause or suspend work on any project with overdue payments.

Project Timeline & Delivery

Estimated timelines are provided in good faith based on the agreed scope of work. We strive to meet all deadlines; however, timelines may be affected by factors beyond our control, including delays in client feedback, content delivery, or scope changes.

Any delays caused by the Client (late feedback, missing materials, or scope modifications) may result in revised timelines and, where applicable, additional charges.

Final deliverables will be provided in the formats specified in the project proposal. Criatima is not responsible for issues arising from the Client's modification of delivered files without our involvement.

Revisions & Changes

Each project includes a defined number of revision rounds as specified in the project proposal. Revisions refer to minor adjustments within the agreed scope — they do not include fundamental changes to the creative direction or project requirements.

Additional revisions beyond the agreed rounds, or requests for significant changes to the approved direction, will be quoted separately and billed at our standard hourly rate.

Requests for changes to the project scope after work has commenced ("scope creep") will be assessed, and a revised proposal with updated costs and timelines will be provided for the Client's approval before any additional work begins.

Limitation of Liability

Criatima shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, deliverables, or website. Our total liability shall not exceed the total amount paid by the Client for the specific project in question.

We do not guarantee specific business outcomes, revenue increases, or search engine rankings as a result of our services. While we apply industry best practices and proven strategies, results may vary depending on market conditions, competition, and other external factors.

Termination

Either party may terminate a project with 15 days' written notice. In the event of termination, the Client shall pay for all work completed and expenses incurred up to the date of termination.

The initial deposit is non-refundable under any circumstances. If the Client terminates the project after work has progressed beyond the deposit amount, additional payment for completed work will be required.

Criatima reserves the right to terminate a project immediately if the Client engages in abusive behaviour, fails to make agreed payments, or breaches any material term of these conditions.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Portugal. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Leiria, Portugal.

For clients within the European Union, these terms comply with applicable EU consumer protection regulations, including the General Data Protection Regulation (GDPR) regarding the processing of personal data.
